 Liquidation Agreement

The individual, corporation, or other entity named above, (hereinafter referred to as "Owner"), enters into this agreement with World Exhibit Brokers Inc. (hereinafter referred to as "Broker").

1. Appointment of Broker as exclusive agent: Owner desires to liquidate its exhibit properties which are described on the previously provided inventory list and referred to in this document as the "Exhibit", and hereby designates the Broker as its exclusive agent to dispose of the Exhibit. It is understood by Owner and Broker that the Exhibit to be liquidated is in "as is" condition. By such appointment, Owner also hereby relinquishes any and all rights to sell the Exhibit or to communicate any information regarding the Exhibit which include discussing inventory, price and location with any prospective buyers during the term of this Listing Agreement. Owner will refer any and all calls made to seller, to the Broker.

2. Term: This Agreement shall expire upon the disposal of the Exhibit. Owner can cancel the agreement anytime after 90 days following the date of its execution with a 30 day notice.

3. Warranty of Title: Owner warrants that the Exhibit is free and clear of all liens, claims and encumbrance before the Exhibit ownership transfers to new owner. Owner agrees to be solely responsible for, and to indemnify Broker for all storage charges accrued against the Exhibit until the day of its disposal, subject to the terms hereof. Broker makes no guarantee or otherwise represents that the listing of Owner's Exhibit will result in a sale thereof.

4. Disposal: Broker will list the Exhibit on its international web sites, and use marketing strategies to expose the Exhibit to its database of prospective buyers and associate brokers using the documentation received from Owner. The cost of Exhibit inspection, set up or handling related to and prior to the sale; handling, shipping, storage and/or refurbishment subsequent to the completion of liquidation sale of the Exhibit shall be the sole responsibility of Broker or purchasing party, not of the Owner. Owner is responsible for storage fees through the completion of the sale.

5. Remuneration: Owner will receive no remuneration from the sale or disposal of the exhibit properties, nor will Owner incur any cost or charges in connection with the Exhibit liquidation placement activities originated by Broker. Broker may derive remuneration in the sale or disposal process of the Exhibit.

6. Non-Circumvention Clause: Owner intending to be legally bound, hereby irrevocably agrees not to circumvent, avoid, bypass, directly or indirectly, to avoid payment or fees, commissions, or any other form of compensation in any transaction with any corporation, partnership, or individual, revealed by Broker, in connection with this sale. This clause shall end with the sale of the Exhibit. In the event of circumvention, Broker directly or indirectly shall be entitled to a legal monetary penalty equal to the maximum service fee it should realize from such transactions, including all legal expenses in the recovery of funds.

7. This Agreement shall be construed, enforced, and performed in accordance with the internal laws of the State of Nevada without reference to the principles of conflicts of laws.

LETTER OF AUTHORIZATION

TO WHOM IT MAY CONCERN:

We have appointed WORLD EXHIBIT BROKERS, INC. as our agent, to dispose of our trade show exhibit described on the attached Inventory Form. 

You are hereby authorized to release to WORLD EXHIBIT BROKERS, INC. any information, estimates, plans, photos, details and documentation pertaining to the design, fabrication, purchase, sale, trade show application, graphics, transportation, and/or installation of the trade show exhibit or any other information deemed necessary for the disposal of the trade show exhibit.

You are not authorized to discuss or otherwise communicate any estimates, plans, photos, details and documentation regarding the design, fabrication, purchase, sale, trade show application, graphics, transportation and installation pertaining to aforementioned trade show exhibit, directly or indirectly, with a prospective buyer of the exhibit, without prior written authorization from WORLD EXHIBIT BROKERS, INC. or its associates. Any questions by a prospective buyer pertaining to the exhibit properties in question must be directed to WORLD EXHIBIT BROKERS, INC.
